Der Wiener Städtische Wechselseitige Versicherungsverein -
Vermögensverwaltung - Vienna Insurance Group (WSTW-Verein) hat im Zuge der
Kapitalerhöhung der VIENNA INSURANCE GROUP AG Wiener Versicherung Gruppe
(VIG) im Mai 2008 junge Aktien erworben und diese am 11.12.2008 teilweise an
seine 100% Enkelgesellschaft, die Social & Culture Beteiligungs GmbH -
Wiener Städtische Wechselseitige (SCB), übertragen. Aktuell hält die SCB
11.092.216 Stück bzw 8,67% Aktien an der VIG.

Die SCB soll nun mit Verschmelzungsvertrag vom 25.6.2024 mit der Social &
Culture GmbH - Wiener Städtische Wechselseitige (SC) einer 100%
Tochtergesellschaft des WSTW-Vereins up stream verschmolzen werden. Die in
Feld 8 Ziffer 2 angeführten 8,67% der SC betreffen den
Verschmelzungsvertrag, der bis 30.9.2024 befristet ist.

Der WSTW-Verein bleibt auch nach der Fusion von SC und SCB unverändert mit
einem direkt und indirekt gehaltenen Aktienanteil von insgesamt 72,47%
(92.755.217 Stück) Hauptaktionär der VIG. Darin sind die indirekt über die
SCB gehaltenen 8,67% enthalten.

Die in Feld 8 angeführten Stimmrechte der WIENER STÄDTISCHEN Versicherung AG
(0,08% bzw 99.353 Stück) und DONAU Versicherung AG (0,01% bzw 7.027 Stück)
betreffen VIG Aktien, die von Spezialfonds gehalten werden, deren
Stimmrechte ausschließlich durch die jeweilige Kapitalanlagegesellschaft
ausgeübt werden.

Wiener Städtische Wechselseitige Versicherungsverein - Vermögensverwaltung -
Vienna Insurance Group (WSTW-Verein) acquired new shares as part of the
capital increase of VIENNA INSURANCE GROUP AG Wiener Versicherung Gruppe
(VIG) in May 2008 and transferred some of these shares to its wholly owned
second-tier subsidiary, Social & Culture Beteiligungs GmbH - Wiener
Städtische Wechselseitige (SCB), on 11 December 2008. SCB currently holds
11,092,216 or 8.67% of the shares in VIG.

SCB is now to be merged with Social & Culture GmbH - Wiener Städtische
Wechselseitige (SC), a wholly owned subsidiary of WSTW-Verein up stream,
under a merger agreement dated 25 June 2024. The 8.67% of SC stated in
section 8 (2) relates to the merger agreement, which is limited until 30
September 2024.

Even after the merger of SC and SCB, WSTW-Verein will remain the main
shareholder of VIG with a direct and indirect shareholding totalling 72.47%
(92,755,217 shares). This includes the 8.67% held indirectly via SCB.

The voting rights of WIENER STÄDTISCHE Versicherung AG (0.08% or 99,353
shares) and DONAU Versicherung AG (0.01% or 7,027 shares) listed in section
8 relate to VIG shares held by special funds whose voting rights are
exercised exclusively by the respective investment company.
